1. Agreement to Terms
By accessing or using the Vallorii Members Area ("Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not access the Platform. Your continued use constitutes acceptance of any updates or modifications to these Terms.

2. Confidentiality & Non-Disclosure
2.1. Confidential Information: All content, insights, models, methodologies, discussions, and documents within the Vallorii Members Area are confidential.
2.2. No Unauthorized Sharing: You agree not to disclose, distribute, publish, or share any confidential information with third parties without prior written approval from Vallorii.
2.3. Public Sharing: If you wish to share any content publicly, you must first obtain explicit approval by contacting vallorii@vallorii.com

3. Acceptable Use Policy
3.1. You must use the Platform solely for its intended purpose: accessing insights and tools provided by Vallorii Limited.
3.2. You shall not engage in:

Scraping, copying, or reverse-engineering Vallorii’s models, algorithms, or content.

Misuse of credentials or impersonating others.

Any activity that disrupts the platform’s functionality or security.

4. Membership & Account Responsibilities
4.1. Registration: You must provide accurate and complete registration details.
4.2. Account Security: You are responsible for maintaining the security of your login credentials. Vallorii is not liable for unauthorized access resulting from your failure to protect login information.
4.3. Access Revocation: Vallorii reserves the right to suspend or terminate your access if you violate these Terms.

5. Intellectual Property & Ownership
5.1. Content Ownership: All models, methodologies, and analytics provided through the Platform are owned by Vallorii.
5.2. Usage Limitations: Users are granted a limited, non-transferable right to access the content for internal business purposes only. Redistribution, modification, or resale of Vallorii’s intellectual property is strictly prohibited.
5.3. No AI Model Training: Users may not use Vallorii’s data, models, or content for training AI models or any automated systems without prior written approval.

6. Compliance with Financial & Regulatory Standards
6.1. Legal Compliance: Users must comply with all applicable financial regulations, industry standards, and data protection laws when using the Platform.
6.2. Prohibited Use: Vallorii’s valuation models must not be used for fraudulent activities, misleading reporting, or unethical financial decisions.
7. Data Privacy & Protection
7.1. GDPR Compliance: Vallorii adheres to the General Data Protection Regulation (GDPR) and relevant data privacy laws.
7.2. Data Collection & Processing: Vallorii collects and processes user data in accordance with its Privacy Policy. By using the Platform, you consent to this processing.
7.3. No Unauthorized Data Uploads: Users must not upload sensitive personal or financial data beyond the scope of the Platform’s intended use.
8. Limitation of Liability
8.1. No Warranties: Vallorii provides valuation models and insights "as is" without guarantees of accuracy or suitability for specific business decisions.
8.2. User Responsibility: You assume all responsibility for financial or business decisions made based on Vallorii’s models.
8.3. No Liability for Losses: Vallorii shall not be held liable for any financial, indirect, incidental, or consequential damages arising from use of the Platform.
9. Restrictions on Automated Access & AI Model Training
9.1. No Bots or Automated Access: Users may not use bots, scripts, or automated tools to access Vallorii’s data or platform.
9.2. AI Training Prohibition: Vallorii’s proprietary models and data may not be used to train external AI models without explicit written approval.
10. Termination of Access & Enforcement
10.1. Violation of Terms: If you violate any provision of these Terms, Vallorii reserves the right to terminate your membership without notice.
10.2. Legal Action: Vallorii reserves the right to pursue legal action and seek damages for any unauthorized use, breach of confidentiality, or misuse of its intellectual property.
11. Modifications to Terms & Conditions
11.1. Updates: Vallorii may update these Terms at any time. Users will be notified of significant changes. Continued use of the Platform after updates implies acceptance of the revised Terms.
